1. HERE'S HOW IT WORKS: Using one of the “break
up” themed song clips (the “Break Up Song Clip”) provided
on the www.youtube.com/swifferbreakup site (the “Contest Site”),
create an original video of 1 minute or less portraying how you have
broken up with your old cleaning methods and now clean with the Swiffer®
product. Then enter your video into the Contest as per the instructions
in Rule #2 and on the Contest Site. NOTE: Videos must NOT contain
or depict the Swiffer® product or the Break Up Song Clip in a manner
that is crude, vulgar or inappropriate as outlined in Rule #2. Your
video will then be posted at the Contest Site (subject to the conditions
noted in Rule #2). At the conclusion of the Entry Period (12:00 a.m.
(ET) on January 9, 2008 through 11:59 PM (ET) on January 30, 2008),
judges will determine the top 10 Finalist entries which will be posted
on the Contest Site for visitors to vote to help determine the winners.
Videos submitted and posted on youtube.com may be rated by visitors
to that website, however, ratings on youtube.com DO NOT
determine the contest winners. See Rules #2, #3 and #6 for details on
how to enter, eligibility requirements and prizes.

2. HERE'S HOW TO ENTER:
|
o Beginning 12:00 a.m. (ET) on January 9, 2008, visit the Contest
Site and follow the directions for selecting and downloading one of
the Break Up Song Clip to be included on your video. You agree that
you will use the downloaded Break Up Song Clip solely in connection
with your participation in the Contest.
o Create your original video of 1 minute or less, portraying how you’ve
broken up with your old cleaning products and now clean with the Swiffer®
product (the “Video”).
o You must read and agree to the Procter & Gamble Privacy Policy
at http://www.pg.com/privacy/english/privacy_notice.html and YouTube
Terms & Conditions at http://youtube.com/t/terms and the YouTube
Privacy Policy at http://www.youtube.com/t/privacy.
o During the Entry Period, visit the Contest Site and follow the
links and instructions to login and/or create your YouTube account.
Please note: You must have a valid YouTube account and agree to the
YouTube Terms of Use, located at http://www.YouTube.com/t/terms, and
the YouTube Privacy Policy, located at http://www.youtube.com/t/privacy,
in order to be eligible to enter. Registration on YouTube must be
completed before a Video can be submitted. Creating a YouTube account
is free. Once logged in, follow the links and instructions to upload
a Video. Videos will be judged separately. You may upload one (1)
Video caption, not to exceed 50 characters. Videos must be received
by no later than January 30, 2008 at 11:59 p.m. ET to be eligible
for judging. If any group of individuals elects to collaborate on
a Video, they are required to designate one individual to enter the
Contest and accept the prize on behalf of the group. The Proctor &
Gamble Distributing LLC (“Sponsor”) is not liable for
any disputes between collaborators related to a Video. LIMIT: Each
person/address/email address may submit only one (1) Video during
the Entry Period. By completing the registration and submitting your
Video, you (and, if an eligible minor in your state of residence,
your parent or legal guardian) agree that your Video conforms to the
Video Guidelines and Content Restrictions as defined below as well
as the YouTube Terms and Conditions (collectively, the “Guidelines
and Restrictions”) (“Qualifying Video”) and that
Sponsor, Warner Music, Inc. and its affiliates (collectively “Warner”),
and/or YouTube, in its sole discretion, may remove your Video at any
time and for any reason, including if it believes, in its sole discretion,
that your Video fails to conform to the Guidelines and Restrictions
in any way, fails to conform to the YouTube Terms of Use, or otherwise
contains prohibited, inappropriate, offensive, infringing or otherwise
unacceptable contest as determined by Sponsor, Warner or YouTube,
in their sole discretion, in which case your Video shall be disqualified
from the Contest.

o IMPORTANT: Be sure to save your Video in the original format
after uploading it to the Contest Site. If you are a Finalist, you
agree that you will provide Sponsor with your Video in its original
format in order for the Video to be used in future advertising, PR
or Promotion.

Video Guidelines: To be eligible, the Video must be submitted
in accordance with the online instructions and meet the following
guidelines:
• The Video must be one (1) minute in length or less;
• The Video must be in .wmv, .avi, .mov and .mpg format;
• The Video must have a file size less than one hundred
(100) MB;
• The Video must not exceed 640 x 280 in size; and
• The Video cannot have been submitted previously in a contest
of any kind.
The uploading process is designed to work with most digital cameras,
camcorders and cell phones in the above formats, but Sponsor makes
no guarantee that any particular device will upload successfully.
Successfully submitting your Video to the Contest Site is not
verification that the Video is a Qualifying Video (as defined
above).
Content Restrictions: The Video must meet the following content
restrictions:
• The Video must not contain material that violates or infringes
another's rights, including but not limited to privacy, publicity
or intellectual property rights, or that constitutes copyright
or trademark infringement;
• The Video must not contain brand names or trademarks other
than the Swiffer® name and mark;
• The Video must not contain music, photos or artwork not
created by entrant (other than the Break Up Song Clip);
• You must use the Break Up Song Clip in its entirety and
in the form as downloaded; you may not alter, edit or remix the
Break Up Song Clip.
• The Video must be in English and must not contain material
that is inappropriate, indecent, obscene, hateful, tortuous, defamatory,
slanderous or libelous;
• The Video must not contain material that promotes bigotry,
racism, hatred or harm against any group or individual or promotes
discrimination based on race, sex, religion, nationality, disability,
sexual orientation or age; and
• The Video must not contain material that is unlawful,
in violation of or contrary to the laws or regulations in any
state where Video is created.

For all Videos: By submitting a Video, you warrant and represent
that: (a) it is your original work and has been legally created,
(b) it has not been previously published or distributed in any
media, (c) it has not been entered in or won previous contests
or awards, (d) it does not infringe upon the copyrights, trademarks,
rights of privacy, publicity or other intellectual property or
other legal or moral rights of any person or entity; (e) that
you have obtained permission from any person whose name or likeness
or voice is used in the Video and that such person is 18 years
of age or older - PERSONS UNDER THE AGE OF 18 MAY NOT APPEAR IN
A VIDEO. (f) you own all rights to your Video, including without
limitation, copyrights, and, that you have received prior written
permission from the videographer of the Video if the Video entry
was taped by someone other than the entrant him/herself; (g) publication
of the Video via various media including Web posting, will not
infringe on any third party rights; and (h) you will indemnify
and hold harmless the Released Parties (as defined in Rule 7 below)
from any claims and damages (including reasonable attorneys' fees)
arising from or relating to the breach or alleged breach of your
representations and warranties herein, your Video, or your conduct
in creating your Video or otherwise in connection with this Contest.
All Videos will become the exclusive property of Sponsor, and
none will be acknowledged or returned. By submitting a Video,
entrant irrevocably grants Sponsor, Warner and their respective
agents an unlimited, worldwide, perpetual, unconditional, gratis
license and right to edit, modify, adapt, distribute, stream,
post, publish, broadcast, reproduce, encode, store, copy, transmit,
publicly display, exhibit, and or otherwise use or reuse (without
limitation as to when or to the number of times used) the Video
and all elements thereof, in whole or in part, including any persons
or likeness embodied therein (in each case, as submitted or as
edited/modified in any way by the Sponsor or Warner, in its sole
discretion) in any way, and may use them in any and all media,
now or hereafter devised, worldwide in perpetuity, without attribution,
compensation, permission or notification to the entrant, his/her
parent or legal guardian, his/her successors or assigns, or any
other entity, and without notice, review, or approval from entrant
or any other party. Furthermore, although Sponsor and/or Warner
is not under any legal or contractual obligation to do so, Sponsor
and/or Warner reserve the right to review and/or edit any and
all Video elements deemed by Sponsor, in its sole discretion,
to be prohibited, inappropriate, offensive, infringing or otherwise
unacceptable. Should Sponsor and/or Warner edit any such Video
elements, entrant is not relieved from responsibility for compliance
with the YouTube Terms of Use and these Official Rules. ENTERING
A VIDEO IN THIS CONTEST CONSTITUTES ENTRANT'S (AND, IF AN ELIGIBLE
MINOR, HIS/HER PARENT'S OR LEGAL GUARDIAN’S) IRREVOCABLE
ASSIGNMENT, CONVEYANCE AND TRANSFERENCE TO SPONSOR OF ANY AND
ALL RIGHT, TITLE AND INTEREST IN THE VIDEO INCLUDING, WITHOUT
LIMITATION, ALL COPYRIGHTS. Upon Sponsor's request, each contestant
must provide a signed written personal release and/or license/
assignment from (1) entrant and all other persons who appear in
the Video submitted, and/or (2) the copyright owner of any sculpture,
artwork or other copyrighted material that appears in the video
entry (including but not limited to depictions of buildings or
other structures), authorizing use of the Video in Sponsor's and
Sponsor's designees' editorial publications, advertising, marketing
and promotions in any and all media now known or hereafter known
throughout the world in perpetuity, without additional compensation,
permission or notification, unless prohibited by law. All releases
must be in the form provided by Sponsor. Accordingly, Entrants
agree to sign all legal forms deemed necessary by Sponsor to establish
Sponsor's ownership of the right, title and interest in and to
the Video and of the transferred copyrights and “Moral Rights
of Authors” waived under these Official Rules. Entrant must
provide fully completed documentation within five (5) days of
the date notice or attempted notice is sent. Failure to provide
such releases upon request may result in disqualification and
the entrant whose Video receives the next highest score may be
deemed the alternate potential winner for the applicable prize.
Released Parties (as defined in Rule 7 below) are not responsible
for lost, late, incomplete, invalid, un-intelligible, garbled,
delayed, inaccurate or misdirected Videos, Videos not uploaded
in accordance with instructions, or Videos not received for any
reason; all of which will be disqualified. Sponsor and/or Warner
reserve the right to, but is not obligated to, monitor/screen
entries prior to posting them to the Contest Site. By entering,
you acknowledge that Sponsor has no obligation to use or post
your submitted Video. Any waiver of any obligation hereunder by
Sponsor does not constitute a general waiver of any obligation
to entrants.

o ENTRY REQUIREMENTS:
• Not all video submissions will be posted on the Contest
Site. If Sponsor, Warner and/or YouTube deem that the video submission
does not comply with the Official Rules of the Contest or if video
depicts usage experiences that do not portray usage of the product
in compliance with the Sponsor's standards (in Sponsor's sole
discretion), entrant's Video will not appear on the Contest Site
or be eligible to participate in the Contest.
• Sponsor/judges reserve the right in their sole discretion
to disqualify any Video entry that, in their sole opinion, refers,
depicts or in any way reflects negatively upon the Sponsor, Warner,
the Break Up Song Clips, the Contest or any other person or entity,
or does not comply with these requirements or these Official Rules.
Video submissions must be suitable for presentation in a public
forum, in sole determination of judges and/or Sponsor.
• Additionally, if entrant is considered a minor in his/her
state of residence, entrant must receive and provide to Sponsor
written permission from their parent/legal guardian. Entrant cannot
appear in more than one of the 10 Finalist videos that are posted
for voting.

3. ELIGIBILITY: Entry into this promotion is open
only to legal residents of the 50 United States or the District of Columbia
who are 18 years of age or older at time of entry. Employees of Sponsor,
Warner, their affiliates, subsidiaries, advertising, promotion and internet
agencies and their immediate family members and/or those living in the
same household of each are not eligible. All federal, state and local
laws and regulations apply. Void where prohibited by law. Eligibility
is expressly conditioned on completion of an Assignment and Affidavit
of Eligibility, the Liability Release, the Prize Acceptance Form and,
where permissible, the Publicity Release and the other representations
and acknowledgement required at time of submission and verification
of winner(s).

4. JUDGING TO DETERMINE THE FINALISTS: All eligible
Video entries will be judged by a panel of judges selected by Sponsor,
to determine the top 10 entries to be posted online for voting, using
the following criteria:
o (Originality & Creativity) - (50%)
o (Appropriate portrayal of the Break-up/ Swiffer® theme) - (35%)
o (Suitability for use in an advertisement,PR or promotion) - (15%)
The decisions of the judges are final on all matters relating to this
Contest.

5. ONLINE VOTING TO DETERMINE THE WINNERS: Beginning
12:00 AM (ET) on February 4, 2008 through 11:59 PM (ET) on February
19, 2008 (the “Voting Period”) the top 10 Finalist videos
will be posted on the Contest Site. Website visitors will be given the
opportunity to vote for their favorite Video entry per Rule #4 by following
the online instructions. At the end of the voting period, scores from
the online voting will be combined with the scores from the panel of
experts from the previous round to determine the potential one (1) Grand
Prize Winner, five (5) Runner-Up Winners. Each Finalist entry's percentage
of the total votes will carry a 50% weight and the panel of expert scores
will carry a 50% weight in the determination of the winners. Voting
open to all ages. Limit one vote per e-mail address per day. If more
than one vote is received per person per day, only the first vote received
will be eligible. In the event of a tie, the tie will be broken based
on the highest score from the previous round of Finalist Judging.

6. PRIZES: 10 prizes, with a total approximate retail
value of $20,750 will be awarded as follows:
(1) Grand Prize - A check for $15,000; (5) Runner-Up Prizes - A check
for $1,000 per prize. Each of the Ten Finalists will also receive a
prize consisting of fifty (50) song downloads from Warner Music and
a package of Swiffer® products (to be determined by Sponsor) (approximate
retail value: $75.00 each). Limit one prize per person or household.
The Sponsor may also choose to use one or more of the Finalist Videos
in future advertising, PR or promotion. There is no monetary value associated
with the use of the video in future advertising, PR or promotion.

7. RELEASE: By entering, each entrant (and, if an
eligible entrant, his/her parent or legal guardian) agrees to release
and hold harmless Sponsor, Warner, YouTube, and their respective parents,
subsidiaries, affiliates, suppliers, distributors, retailers, advertising/promotion
agencies, and prize suppliers, and each of their respective officers,
directors, employees and agents (collectively, the “Released Parties”)
from and against any claim or cause of action, including, but not limited
to, personal injury, death, or damage to or loss of property, arising
in whole or in part, directly or indirectly, out of participation in
the Contest or any Contest related activity; receipt or use or misuse
of any prize; Released Parties' use of the rights granted herein; or
for any printing, production, typographical, human, or other error in
the printing, offering or announcement of any prize.

8. GENERAL RULES: Potential Finalists (or parent/legal
guardian if potential Finalist is deemed a minor in his/her state of
residence) will be notified via YouTube’s private messaging service
through his/her user name on the YouTube website and will be required
to complete an Assignment and Affidavit of Eligibility certifying that
the video submitted is his/her own original work and he/she holds all
rights to the video and all elements therein, that the video has not
won a previous prize or award and that he/she has followed the Official
Rules of the Contest. Additionally, Potential Finalists (or parent/legal
guardian if potential Finalist is deemed a minor in his/her state of
residence) will be required to complete a Release of Liability, Prize
Acceptance Form and, if legally permissible, a Publicity Release. If
video entry depicts persons other than the entrant, entrant must also
submit a completed and signed Publicity Release Permission Form for
each additional person depicted in the entrant's video submission. All
documents must be completed and returned within 5 days of attempted
delivery of same. Noncompliance within this time period or return of
any prize/prize notification as undeliverable will result in disqualification
and an alternate finalist will be selected. Winners will be notified
by mail/phone. No substitution or transfer of prize by winner permitted.
Sponsor reserves the right to substitute prize of equal or greater value.
All federal, state, and local taxes are the sole responsibility of winner.
By accepting prize, winner (or parent/legal guardian if winner is deemed
a minor in his/her state of residence) agree to release and hold Sponsor,
Warner, YouTube, and their respective directors, officers, employees
and assigns, harmless from and against any and all claims and liability
arising out of use of prize. Winner (or parent/legal guardian if winner
is deemed a minor in his/her state of residence) assumes all liability
for any injury or damage caused, or claimed to be caused, by participation
in this promotion or use or redemption of any prize. Acceptance of prize
constitutes permission for the Sponsor and its agencies to use winner's
name and/or likeness for purposes of advertising and trade without further
compensation, unless prohibited by law. Entrants (or parent/legal guardian
if entrant is deemed a minor in his/her state of residence) agree to
release, discharge and hold harmless Sponsor, Warner, YouTube its respective
directors, officers, employees and assigns, harmless from and against
any and all liability and damages. By participating in this promotion,
entrants (or parent/legal guardian if entrant is deemed a minor in his/her
state of residence) agree to be bound by the Official Rules and the
judges' decisions which are final. In the event there is a discrepancy
or inconsistency between disclosures or other statements contained in
any contest materials and the terms and conditions of the Official Rules,
the Official Rules shall prevail, govern and control. Sponsor not responsible
for any typographical or other error in the printing of the offer, administration
of the contest or in the announcement of the prize. In no event will
more than the stated number of prizes be awarded.

SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES
FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor
is not responsible for faulty, incorrect or mistranscribed phone transmissions,
incorrect announcements of any kind, technical hardware or software failures
of any kind including any injury or damage to any person's computer related
to or resulting from participating in or experiencing any materials in connection
with the promotion, lost or unavailable network connections, or failed,
incomplete, garbled or delayed computer transmission that may limit a user's
ability to participate in the promotion. Sponsor reserves the right to cancel
or modify the promotion if fraud, misconduct or technical failures destroy
the integrity of the program; or if a computer virus, bug, or other technical
problem corrupts the administration or security of the program as determined
by Sponsor/judging agency/administrator, in their sole discretion. If technical
malfunctions or suspect voting/irregularities corrupt the voting process,
Sponsor reserves the right, in its sole discretion, to award prizes based
solely on the Finalist Judging scores or non-suspect votes. In the event
of termination, a notice will be posted online and entries will be judged
from among all eligible entries received prior to termination. Any damage
made to the Contest Site will be the responsibility of the authorized e-mail
account holder of the e-mail address submitted at the time of entry. Proof
of submitting entries will not be deemed to be proof of receipt by Sponsor.
Any use of robotic, automatic, programmed or the like methods/votes of participation/voting
will void all such submissions/votes by such methods. Sponsor reserves the
right to prohibit the participation/voting of an individual if fraud or
tampering is suspected or if the account holder fails to comply with any
requirement of participation as stated herein or with any provision in these
Official Rules.
